Terms of Use

1. Introduction

These Terms of Use ("Terms") are a legal agreement between you, (referred to as "Customer", "Carrier", and/or "User"), and Hey Bubba!, Inc. and its subsidiaries, affiliates, successors and assignees (collectively referred to as "Hey Bubba!", "Company," "we," "us," or "our") and, unless you and Hey Bubba! agree in a signed written document, govern your use of and access to Hey Bubba!'s services, including our website and any software, mobile applications, tools, features, and other products and services that are made available through our website (www.bubba.ai) ("Site") or otherwise made available by us (collectively the "Services").

By clicking to accept these Terms or executing a contract that references these Terms, by purchasing the Services or otherwise creating an account, accessing, or using the Services, you agree to be bound by these Terms any applicable Additional Terms which are incorporated by reference, as well as our Privacy Policy. If you do not agree, you may not use the Services. If you are using our Services for an organization, such as your employer, you are agreeing to these Terms on behalf of that organization.

FOR USERS RESIDING IN THE UNITED STATES, PLEASE BE AWARE THAT THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE AND CLASS ACTION WAIVER, AS IT REQUIRES ARBITRATION TO RESOLVE DISPUTES, IN MOST CASES, ON AN INDIVIDUAL BASIS. BY ACCEPTING THESE TERMS, USER AGREES TO BE BOUND BY THE AGREEMENT TO ARBITRATE AND THE CLASS ACTION WAIVER.

By using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

2. Definitions

For clarity, the following definitions apply:

  • "User" refers to any individual or entity accessing or using the Services.
  • "Account" means the registered profile required to access the Services.
  • "Third-Party Services" refers to load boards, brokers, payment platforms, and other external services integrated with Hey Bubba!.

3. Eligibility and Account Registration

To use the Services, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction.
  • Provide accurate, complete, and current registration information, including your USDOT number if applicable.
  • Maintain the confidentiality of your login credentials and be responsible for all activity under your account.

4. License and Access Rights

Subject to your compliance with these Terms, Hey Bubba! grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or commercial dispatching purposes.

  • You may access and use the Services solely in accordance with these Terms and applicable laws.
  • You may not resell, distribute, or sublicense the Services.
  • You may not reverse-engineer, copy, or modify the software.
  • Any unauthorized use terminates your license and may result in legal action.

5. Services and Features

Hey Bubba! offers AI voice dispatch services that enable you to:

  • Find, negotiate, and book freight across multiple platforms.
  • Automate post-booking workflows, including load confirmations and payment processing.
  • Integrate with third-party platforms such as load boards and brokers.

We may add, modify, or remove features at our discretion. Continued use of the Services following any modifications constitutes acceptance of the new features or changes.

6. Fees, Payments, and Billing

By subscribing to Hey Bubba!, you agree to pay the applicable fees and taxes.

a) Subscription Plans:

  • Subscriptions are billed on a recurring basis (monthly or annually), depending on your plan.
  • You authorize Hey Bubba! to charge your payment method on file for recurring payments.
  • You are responsible for keeping your payment details accurate and up to date.

b) Late Payments:

  • If your payment is declined or fails, Hey Bubba! may suspend or terminate your access until payment is resolved.
  • Unpaid balances may accrue interest at 1.5% per month or the maximum rate allowed by law.

7. Free Trials and Promotions

Hey Bubba! may offer free trials or promotional offers. Upon expiration of the trial, you will be charged according to the subscription plan selected, unless you cancel before the trial ends.

8. Acceptable Use Policy

When using the Hey Bubba! Services, you agree not to:

  • Use the Services for unlawful, fraudulent, or malicious activities.
  • Interfere with or disrupt the integrity, security, or performance of the platform.
  • Access the Services using automated systems (e.g., bots).
  • Attempt to reverse-engineer or tamper with the platform.
  • Share, resell, or transfer access to the Services.

Violations of this section may result in immediate suspension or termination of your account.

9. Third-Party Services and Integrations

Hey Bubba! integrates with third-party services, such as load boards, payment platforms, and telematics providers.

  • We do not guarantee the availability, accuracy, or reliability of third-party services.
  • Use of third-party services is subject to their respective terms.
  • Hey Bubba! is not liable for any issues, damages, or losses arising from third-party platforms.

10. Beta Features Disclaimer

From time to time, Hey Bubba! may offer access to beta features or trial services.

  • Beta features are provided on an "as-is" basis and may contain bugs or limited functionality.
  • We do not guarantee the performance or reliability of beta features.
  • You agree that Hey Bubba! is not liable for any issues, data loss, or errors arising from the use of beta features.

11. Intellectual Property

Hey Bubba! and its licensors retain all rights, title, and interest in the Services, including:

  • Trademarks, logos, and branding.
  • AI technology, software, and algorithms.
  • All content, text, images, and data displayed on the platform.

Unauthorized use, reproduction, or distribution of Hey Bubba! content is strictly prohibited and may result in legal action.

12. Copyright and Trademark

All content, trademarks, logos, and software associated with Hey Bubba! are protected by copyright, trademark, and other intellectual property laws.

13. Feedback and Suggestions

By submitting feedback, suggestions, or ideas to Hey Bubba!, you grant us a royalty-free, perpetual, irrevocable, and sublicensable license to use, modify, and implement your feedback into the Services without compensation.

14. No Warranties, Force Majeure and Limitation of Liability

No Warranties

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied. Hey Bubba! expressly disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be error-free, uninterrupted, or free from unauthorized access. You assume all risks associated with the use of the Services.

Limitation of Liability

To the fullest extent permitted by applicable law, Hey Bubba! shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, data, or goodwill, resulting from:

  • Your use or inability to use the Services;
  • Any errors or inaccuracies in the Services;
  • Unauthorized access to or alteration of your data;
  • Any third-party conduct or services accessed through the platform.

Force Majeure

Hey Bubba! shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to:

  • Natural disasters, floods, or earthquakes.
  • Acts of terrorism or war.
  • Labor strikes or disputes.
  • Internet or power outages.
  • Government actions or regulations.

15. Indemnification

You agree to indemnify, defend, and hold harmless Hey Bubba!, its affiliates, officers, directors, employees, and agents from any and all claims, damages, liabilities, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Any disputes between you and third parties (e.g., brokers, shippers).
  • Your infringement of any third-party rights.

16. Class Action Waiver

You agree that any dispute with Hey Bubba! shall be resolved individually.

  • You waive the right to participate in any class action lawsuit or class-wide arbitration.
  • All claims must be brought on an individual basis.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

  • Any disputes or claims arising from these Terms shall be filed in Travis County, Texas.
  • You consent to the exclusive jurisdiction of the courts in Travis County, Texas.

18. Modification of Terms

Hey Bubba! reserves the right to modify or update these Terms at any time.

  • We will notify users of significant changes through the platform or via email.
  • Your continued use of the Services after changes constitutes acceptance of the revised Terms.

19. Termination of Service

Hey Bubba! may suspend or terminate your access to the Services at any time, with or without cause, including for:

  • Violating these Terms.
  • Engaging in fraudulent or abusive behavior.
  • Non-payment of subscription fees.
